The following agreement is outlined to ensure a mutual understanding of the Perfect Servings^® program and our
dedication to you as our distributors. It will also help you understand how using our products and equipment can
benefit your company.

United Food Group, Inc. is a manufacturer of dry powder mixes and proprietary dispensing equipment. The primary
focus of our business is dry powder products. The equipment is secondary to our program and provides both of us a
vehicle to sell more product. United Food Group, Inc. subsidizes the cost of the equipment in order to solidify product
sales. We have spent hundreds of thousands of dollars in R&D, tooling, design, and product development in order to
bring these programs to market.

The success of our program will be a partnered effort with United Food Group as a supplier to you, assisting in R&D,
product development and marketing, and your company to be the provider of professional level of services and means
of distribution to the customer.

By our mutual understanding of knowing how this partnership works, we can both grow our business and achieve our
goals together. United Food Group offers a very inexpensive way to have you test our machine or place it in one of your customer’s location on a 30‐day trial basis. For $150.00 prepaid, we will ship the SM‐PSPD‐3V or 4V model to you along with your choice of three or four products, in increments of 5 bags each. If for some reason the dispenser needs to be returned to us after the trial period, we will accept the machine back and refund $94.50, which is the subsidized cost of the machine. Product cannot be returned.

If you choose to become a Perfect Servings^® distributor, we will ask that you sign a form to ensure you understand the program. It states as long as you are using our subsidized equipment, you will only use our powder in the machine to maintain the warranty which is free parts and labor as long as the program is in effect. If a machine fails to function properly, simply contact us and either a part to fix it or a new machine will be sent to you. If a new machine is shipped, we will include a return label for you to send the defective unit back. There is no cost to you for the new machine or freight.

If you decide to keep the first dispenser and would like to start the Perfect Servings^® program, we ask you to sign the Perfect Servings^® Product Usage agreement. The next four machines you order will require shipping with product, one case per selection. If it is a three selection machine, we would ship the machine along with any three cases you choose. After your fifth machine, you can order product and equipment separately. We are assuming in most cases that you are selling the product by the bag in some cases, and not by the case. Also, after you have received your fifth machine, you can request to be listed on our website as a distributor. We will designate you as a distributor in your state or states, provide a link to your site and list your company information for prospective customers in your area to contact you.
